Adopted 14 December 2021 Asia Pacific Forum of Human Rights Institutions Governance Committee Charter 1 Purpose of this Charter This Charter establishes the role and terms of reference of the Governance Committee of the Forum. 2 3 Role of the Governance Committee (a) The Forum councillors are the directors of the Forum and responsible for the overall strategy, governance and performance of the Forum. The Forum councillors have power under the constitution to establish and delegate any of their powers to a committee of Forum councillors. (b) The Governance Committee is a committee of the Forum councillors established pursuant to clause 14.15 of the APF Constitution. (c) The role of the Governance Committee is to assist the Forum councillors in furthering the Object of the Forum and in fulfilling their corporate governance responsibilities, exercising the powers delegated to it under this Charter and any directions given by the Forum Councillors to the Governance Committee as set out in this Charter or separately. Object of the Forum The object of Forum is pursue the following charitable purposes as set out in clause 2 of the constitution: The Forum is established to provide benevolent relief to vulnerable people in the Asia Pacific Region suffering from the effects of abuses of their human rights, including by: (a) protecting and promoting the human rights of such peoples; 4 (b) collaborating with national human rights institution in programs to protect such peoples from the effects of human rights abuses; (c) supporting the establishment of human rights institutions; and, (d) acting as trustee and doing such other things that are incidental or conducive to the attainment of this object. Duties of committee members and ACNC Governance Standards (a) In order to be eligible to be a registered charity, the Forum must comply with the ACNC Governance Standards that are derived from the common law and the Corporations Act and apply in addition to a director’s fiduciary and other statutory duties. (b) The Governance Committee must be familiar with, and comply with, the ACNC Governance Standards and must assist the Forum councillors to take all reasonable steps to ensure that the Forum complies with the ACNC Governance Standards. (c) In exercising their functions as members of the Governance Committee, the individual members are expected to comply with the ACNC Governance Standards at all times including the core duties set out in Governance Standard 5 and: 1
