Conflicts of interest
(a) Unless section 195 of the Corporations Act 2001 permits, a Governance
Committee member who has a material personal interest in a matter that is being
considered at a Governance Committee meeting must not:
(i)
be present while the matter is being considered at the meeting; or
(ii)
vote on the matter.
(b) Governance Committee members must disclose actual or perceived material
conflicts of interests that a Governance Committee member, and any related party,
may have in any matter concerning the Forum or a related body corporate. The
disclosure of a conflict of interest must be recorded in the minutes of the meeting.
(c) The Governance Committee must maintain a Conflicts Register that records the
disclosure of such interests. It is a member’s responsibility to ensure the Conflicts
Register is kept up to date at all times.

Minutes and reporting to Forum councillors
(a)
The Governance Committee must maintain minutes of their meetings and any
written resolutions.
(b)
The chairperson of the Governance Committee must provide a copy of the
minutes to the Forum councillors and must report back on committee meetings
to the Forum councillors at the each meeting of the Forum councillors.
Confidentiality
Confidential information received by the committee members in the course of the exercise of
their duties remains the property of the Forum.
The committee members must keep the discussions and resolutions of the Governance
Committee confidential, except where they are authorised to disclose the matter or are
required to make the disclosure by law.

Independent professional advice
Members of the Governance Committee may seek independent professional advice at the
Forum’s expense. This may be sought only after prior in consultation with the chairperson.
Generally, this advice will be available to all committee members and Forum councillors.

Review
The Forum councillors are responsible for reviewing this Charter and the division of functions
and responsibilities in the Forum periodically to consider its appropriateness to the needs of
the Forum. This Charter may be amended by resolution of the Forum councillors.
This approval of this Charter by the Forum councillors was effective on 1 January 2018.
