(f)
No more than three Governance Committee positions may be held by more
than one gender (unless there are insufficient nominees to so fill the
Governance Committee positions).
(g)
The Governance Committee Chair and Deputy Chair should not be from the
same sub-region. Other members of the Governance Committee should not be
from the same sub-region as the Chair and the Deputy Chair (unless there are
insufficient nominees from regions to fill the Governance Committee
positions).
(h)
A Governance Committee member holds office from the conclusion of the
annual general meeting at which that person is elected to the conclusion of the
annual general meeting at which that person retires.
Removing Governance Committee Members and vacancies on the Governance
Committee
(a)
In addition to the circumstances prescribed by the Act, the office of a
Governance Committee member becomes vacant if the institution that
nominated the member ceases to be a member of the Forum or if the member:
(i)

becomes of unsound mind or a person who is, or whose estate is, liable
to be dealt with in any way under the law relating to mental health;
becomes bankrupt or insolvent or makes an arrangement or
composition with his or her creditors generally;
is convicted on indictment of an offence; or
resigns by written notice to the Forum Secretariat.
b) Where the office of a Governance Committee member becomes vacant the individual
cannot delegate their position to another individual in their organisation.
c) If the Chair resigns, is removed or becomes unable to fulfil their duties, the Deputy
Chair shall assume the role of Chair.
d) Upon vacation of Office by the Deputy-Chair or any of the other 3 Governance
Committee members an election by ‘A’ accredited members is held to fill the
position(s) at the next meeting of the General Assembly to allow for representations
from nominees.
e) The vacating officer(s) cannot delegate their position to another official from within
their institution(s).

Meetings of the Governance Committee

Frequency of meetings
9.2
(a)
The Governance Committee should hold sufficient meetings to discharge their
duties as set out in this Charter and should ordinarily meet least 4 times
annually; including at least twice in person.
(b)
It may meet on additional occasions at its discretion, and upon written request
of any 2 members.
Chairperson
The chairperson of the Governance Committee is the chairperson of the Forum
councillors.
